Four current directors have stepped down from the board following HCA’s recent repurchase of shares from its two main private equity investors, Bain Capital partners and Kohlberg Kravis Roberts & Co. John Connaughton and Christopher Gordon, affiliates of Bain, and Kenneth Freeman and James Momtazee, affiliates of KKR & Co, will no longer serve as directors. One affiliate from each company remains on the board.
The new size of the board has been set at 13 members.
In addition to being a founding partner of New York-based Consonance Capital Partners, new independent director Ms. DeParle previously served as counselor to the president and director of the White House Office of Health Reform, as well as assistant to the president and deputy chief of staff for policy.
Mr. Dennis most recently served as chairman, president and CEO of Nashville, Tenn.-based Genesco, a specialty retailer, and as CEO of Indianapolis-based Hat World Corp.
Dr. Rowe is a professor in the Department of Health Policy and Management at the Columbia University Mailman School of Public Health in New York. He previously served as chairman and CEO of Hartford, Conn.-based Aetna, president and CEO of Mount Sinai NYU Health and president of Mount Sinai Hospital and Mount Sinai School of Medicine.
Ms. DeParle and Dr. Rowe will serve on the Patient Safety and Quality of Care Committee, and Mr. Dennis will serve on the Nominating and Corporate Governance Committee.
