The Hart-Scott-Rodino Antitrust Improvements Act of 1976 requires companies to wait until receiving notice from the Federal Trade Commission and the U.S. Department of Justice that the transaction will not affect antitrust laws before completing any merger or acquisition.
Smith & Nephew announced it would acquire ArthroCare in February 2013, pending antitrust approval and other closing conditions, including approval from stockholders.
