AdventHealth and Intermountain Health have signed a definitive agreement to form their Denver-area joint venture, the next step in a deal that would place eight hospitals under AdventHealth management.
The systems signed a letter of intent July 21 and formalized the definitive agreement Aug. 6, according to an update to a joint news release from the organizations. The transaction is expected to close in early 2027 and remains subject to regulatory approvals.
The joint venture would bring together AdventHealth’s five Denver-area hospitals — AdventHealth Avista, AdventHealth Castle Rock, AdventHealth Littleton, AdventHealth Parker and AdventHealth Porter — along with off-site emergency and urgent care centers and dozens of medical practices, and Intermountain’s Good Samaritan Hospital, Lutheran Hospital and Platte Valley Hospital, along with their related physician practices and clinics. Altamonte Springs, Fla.-based AdventHealth will manage and lead daily operations.
Intermountain Health Saint Joseph Hospital in Denver and its affiliated clinics are not part of the venture. Intermountain continues to explore options for those facilities, including potential partnerships, according to the release.
On Aug. 12, Intermountain also named Scott Peek president of its Peaks Region, effective Aug. 16, and he will represent the system on the joint venture’s board.
The structure resembles the model Detroit-based Henry Ford Health and St. Louis-based Ascension used in Michigan in 2024, combining regional assets under one operating platform rather than pursuing a conventional merger.
Salt Lake City-based Intermountain is a nonprofit system of 34 hospitals and about 400 clinics in six states, with medical groups employing about 4,600 physicians and advanced care providers.
