HCA Approves 2014 Base Salaries for CEO, CFO

Nashville, Tenn.-based Hospital Corporation of America has finalized the annual base salaries of President and CEO Milton Johnson, as well as CFO William Rutherford.

According to a recent filing with the Securities and Exchange Commission, Mr. Johnson's salary for 2014 will be $1.1 million. Mr. Rutherford will earn $600,000. The compensation committee within HCA's board of directors approved the figures.

Most of the compensation earned by investor-owned company executives comes in the form of bonuses and stock options. For example, in 2012, Mr. Johnson earned $27.2 million in total compensation. Base salary comprised only a small portion of that total ($891,650). He also received $1.44 million in cash bonuses, $3.63 million in deferred earnings, $5.58 million in stock appreciation right awards and more than $15.7 million in other vested stock options.

Mr. Johnson officially took over for Richard Bracken this year, and Mr. Rutherford replaced Mr. Johnson. In 2012, Mr. Bracken recorded total compensation exceeding $46.3 million — one of the highest, single-year amounts ever doled out to a for-profit hospital executive.
