Chicago-based CommonSpirit Health and Pittsburgh-based UPMC have signed a definitive agreement to transfer ownership of Trinity Health System, based in Steubenville, Ohio, which includes multiple hospital facilities and clinics across the Ohio Valley.
Six things to know:
1. The transaction would see Pittsburgh-based UPMC expand into the Ohio hospital market.
2. The agreement follows a nonbinding letter of intent signed in October, when UPMC first announced plans to acquire the system. The deal is expected to close this fall, pending regulatory review and customary closing conditions. Financial terms of the deal were not disclosed.
3. Trinity Health System includes Trinity West and Trinity East in Steubenville, Ohio; Trinity St. Clairsville (Ohio) Neighborhood Hospital; and Trinity Twin City Medical Center in Dennison, Ohio, along with associated clinics, according to a May 4 joint news release.
4. CommonSpirit currently operates 137 hospitals across 24 states. UPMC operates more than 40 hospitals and 800 outpatient sites across Pennsylvania, Maryland and New York, as well as internationally.
5. The deal comes as CommonSpirit continues to pursue hospital sales amid ongoing industry headwinds. The system sold CHI St. Alexius Health Devils Lake, a 25-bed critical access hospital in North Dakota, to Grand Forks, N.D.-based Altru Health System, effective March 1. Meanwhile, CommonSpirit is also pursuing deals to sell three additional North Dakota hospitals — CHI St. Alexius Health in Bismarck, CHI St. Alexius Health Turtle Lake and CHI St. Alexius Health Garrison — to Altru.
6. In a joint statement, Trinity and UPMC leaders emphasized a shared focus on expanding access to care and strengthening services in the Ohio Valley.

We look forward to a bright future ahead for our patients and community.”
