Renton, Wash.-based Providence has reached a definitive agreement to transfer Queen of the Valley Medical Center in Napa, Calif., and its affiliated ambulatory clinics to San Francisco-based NorthBay Health.
The two parties signed a letter of intent for NorthBay to acquire the 198-bed hospital in early March.
NorthBay Health has committed to investing in clinical services and community benefit programs under the agreement, offering employment to existing Queen of the Valley caregivers. It will also work to meet seismic safety requirements and support the Queen of the Valley philanthropic work in the area, according to an April 9 release shared with Becker’s.
“As Providence pursues its 2030 strategic direction, we recognize that we must focus our resources where we can do the greatest good,” Laureen Driscoll, chief executive of Providence South Division, said in the release. “We are confident that NorthBay Health is the right organization to build on the Queen’s legacy and continue the commitment to exceptional care for the Napa community. This milestone marks another important step in the process to thoughtfully transition the Queen to NorthBay Health.”
The transition will now enter a regulatory review phase, with ownership expected to be completed before the end of 2026. The organizations have launched a public-facing website to keep the Napa community informed of progress.
“This agreement represents an important step toward expanding access, strengthening clinical services, and ensuring more people in the region benefit from high-quality, locally connected care,” Mark Behl, president and CEO of NorthBay Health, said in the release.
NorthBay Health, a locally governed and nonprofit health system, currently operates two acute-care hospitals, one in Fairfield, Calif., and another in Vacaville, Calif., along with multiple primary care, specialty clinics and four urgent care centers.
Providence is a nonprofit health system that comprises 51 hospitals, 1,002 clinics, one health plan and 120,000 caregivers, according to its website.
