CVS Health to pay Aetna $2.1B if deal fails: 3 things to know

CVS Health owes Aetna a $2.1 billion breakup fee if its proposed purchase of the insurer is terminated, according to a Securities and Exchange Commission filing.

Here are three things to know.

1. CVS Health signed a definitive merger agreement to acquire all outstanding shares of Aetna for roughly $69 billion in cash and stock Dec. 3.

2. For comparison, Aetna had to pay Humana $1 billion when the payers terminated their merger agreement in February. This was after a federal judge blocked the deal, citing antitrust concerns.

3. Aetna Chairman and CEO Mark Bertolini will reap approximately $500 million when he exits the company if its proposed deal with CVS Health closes, according to The Wall Street Journal.
