Semler Scientific reached an agreement in principle with the U.S. Department of Justice to settle fraud claims for $29.75 million.

The settlement relates to a civil investigational demand issued by the Justice Department concerning alleged violations under the False Claims Act, according to a Form 8-K filed April 15.

While the deal is not finalized, Semler acknowledged that it may still need to secure agreement from HHS and undertake additional compliance obligations. If a final agreement cannot be reached, the department could still pursue litigation seeking damages exceeding the original proposed amount, according to the Form 8-K.

The company also reported a preliminary operating loss of up to $1.5 million for the first quarter of 2025 including $400,000 in legal costs tied to the DOJ investigation.
