UnitedHealth Group received notices of proposed adjustment from the IRS March 6, the company shared in quarterly Securities and Exchange Commission filings.
The transactions facing possible tax adjustment spanned 2017 through 2020 and involved transfer pricing with an unnamed foreign subsidiary. The filings said the agency “is seeking to significantly increase taxable income” for the relevant periods and could seek adjustments beyond 2020.
“The company disagrees with the IRS’ proposed adjustments, believes its tax positions are properly supported and intends to vigorously contest the position taken by the IRS,” the August SEC filing said.
UnitedHealth said it would follow through with all administrative and judicial remedies, and its reserves for uncertain tax positions are sufficient.
UnitedHealth’s gross unrecognized tax benefits were $5.6 billion, $4.1 billion and $3.7 billion at the end of 2025, 2024 and 2023, respectively.
Quarterly filings from recent years had only mentioned the IRS in regard to past or current governmental investigations, audits and reviews.
