St. Elizabeth Medical Center, Faxton St. Luke's Healthcare Sign Memorandum of Understanding

Faxton St. Luke's Healthcare in Utica, N.Y., and St. Elizabeth Medical Center in Utica have signed a memorandum of understanding toward a potential full affiliation agreement.

According to the release, in December 2011 Faxton St. Luke's and St. Elizabeth began discussing the possibility of an affiliation. In August, they revealed that a working group had recommended a plan that would allow for an affiliation while maintaining each hospital's respective operating philosophies. St. Elizabeth is a Catholic hospital, and Faxton is a secular hospital.

According to the release, the MOU outlines a joint agreement, but an actual affiliation will occur only after both parties complete financial and legal due diligence and third parties give approval. The New York State Department of Health, Sisters of St. Francis — St. Elizabeth's sponsor — and the Catholic Church need to sign off on the affiliation.
