Faxton St. Luke's, St. Elizabeth Medical Center Form Mohawk Valley Health System

Faxton St. Luke's Healthcare and St. Elizabeth Medical Center, both based in Utica, N.Y., have officially announced their affiliation and the formation of Mohawk Valley Health System.

Financial terms of the deal were not disclosed. Mohawk Valley, the new parent organization for Faxton St. Luke's and St. Elizabeth, will be governed by an 18-member board of directors, with equal representation from the Faxton St. Luke's and St. Elizabeth boards, according to a news release. Scott Perra, president and CEO of Faxton St. Luke's, has been named president and CEO of Mohawk Valley and will oversee the management team for the system.

In December 2013, the Public Health and Health Planning Council of New York State approved the affiliation. The Federal Trade Commission and the Department of Justice reviewed the transaction for antitrust concerns and had raised no objections by Jan. 21, the end of the required waiting period. Faxton St. Luke's and St. Elizabeth settled antitrust concerns with the state of New York this past December.

St. Luke's and St. Elizabeth have also received approval from the New York State Department of Health, allowing them to finalize the affiliation.

"This has been nearly a three-year process that has, at times, been very complex," Mr. Perra said in the release. "I want to thank our boards, employees, medical staffs, volunteers and the community for their patience, understanding and incredible support."fax
