HCA unveils exec bonus structure for 2025

Nashville, Tenn.-based HCA Healthcare has unveiled plans for the 2025 Executive Officer Performance Excellence Program in a Feb. 24 Form 8-K filed with the Securities and Exchange Commission.

Top executives for the 190-hospital system will be eligible to earn performance awards based on achieving specific targets, weighted as:

  • 80% for achieving certain EBITDA targets 
  • 20% for achieving certain quality metrics in three categories:
    • Healthcare-associated infections and sepsis (30%)
    • Complication and mortality (30%)
    • Care experience (40%) 

If targets are met, CEO Sam Hazen will receive 175% of base salary. This is up from 170% of base salary in 2024. Mike Marks, executive vice president and CFO, and Jon Foster, executive vice president and COO, will receive 125% of base salary. 

Executives in the program can earn 25% to 200% of the EBITDA-weighted award based on performance, with 100% awarded for meeting the target. For quality metrics, they receive 0% to 200%, depending on results, with full payout at target. If EBITDA falls below 90% of target, no quality bonus is paid.
